Terms of Service

Just For Fun Software Limited – ShopLocal.email

These Terms of Service (“Terms”) are a legal agreement between you and Just For Fun Software Limited (“ShopLocal,” “we,” “us,” or “our”), a company based in Strathroy, Ontario, Canada, governing your use of the ShopLocal.email website, web app, and related services (the “Service”). By using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

  • Shopper – a person who claims a free gift through the Service.
  • Merchant – a business that participates in the Service, offers gifts, and collects customer contacts.
  • Organizer or Host – a Merchant who creates and runs a giveaway event.
  • Event (or “Giveaway Week”) – a time-limited group giveaway in which participating Merchants each offer a gift.
  • Gift – a free item or service a Merchant offers to Shoppers.
  • Network – the ongoing, paid cross-promotion service that Merchants may subscribe to.

2. Eligibility

Shoppers must be at least 16 years old. Merchants and Organizers must be at least the age of majority in their province or state, must be a legitimate business, and the individual accepting these Terms must be authorized to bind that business. By using the Service you represent that you meet these requirements and that the information you provide is accurate.

3. The Shopper Experience

  • Gifts are claimed and collected in person at the offering shop. The Service is designed to work when you tap or scan a sign inside a participating store.
  • When you claim a gift, you provide contact details that are shared with the offering shop (see our Privacy Policy), and you agree to receive communications from that shop related to your claim.
  • Gifts are subject to availability, quantity limits, and expiry dates, and each shop sets its own reasonable collection conditions. Unclaimed gifts are released after a holding period.
  • Gifts have no cash value, are non-transferable, and cannot be exchanged for money.
  • ShopLocal is a facilitator only. Each Merchant is solely responsible for honouring its own gifts. We do not guarantee the availability, quality, or performance of any Merchant or gift.

4. Merchant Accounts

  • Merchant accounts use passwordless sign-in via one-time email codes. You are responsible for the security of the email account associated with your ShopLocal account and for all activity under your account.
  • You agree to provide accurate business information and to keep it current.
  • You are responsible for any customer contact data you collect through the Service and must handle it lawfully (see Section 8).

5. Merchant Obligations

As a Merchant, you agree to:

  • offer genuine, free gifts with no hidden conditions or required purchase, and honour them promptly for Shoppers who come to collect;
  • display your ShopLocal sign only inside your place of business, and not post your gift-list link publicly online (the Service depends on in-person claims);
  • submit gifts and imagery that are lawful, accurate, and not offensive, misleading, or infringing;
  • refrain from creating fake claims, manipulating the exchange, or otherwise abusing the Service; and
  • comply with all laws applicable to your business and your marketing.

We may review, approve, decline, pause, or remove any gift or content, and may suspend or terminate accounts that violate these Terms.

6. Events and Organizers

  • Any eligible Merchant may create an Event and invite other businesses. As an Organizer, your business name and any organizer message you provide are shown publicly on your Event’s invitation page.
  • Organizers may approve or decline participants in their own Events for reasonable fit. Organizers may not use this to unlawfully exclude competitors; competition preferences are managed through per-store display controls, not by exclusion.
  • Organizers are responsible for their own communications with the businesses they invite and must comply with anti-spam law. Our optional invitation tools are provided to help you contact businesses you already have a relationship with; you must not use them to send unsolicited bulk messages.
  • ShopLocal may end or remove Events that are inactive, abandoned, or in violation of these Terms.

7. Network Host Commission Program

  • Organizers may earn a commission equal to 10% of the subscription fees we actually collect from Merchants that first joined the Service through one of their Events, for as long as the Organizer remains an active member and continues to keep their network active.
  • Commissions accrue only on fees actually paid and not refunded or charged back. They do not apply to Merchants we acquire through other channels, to free accounts, or to taxes.
  • Commissions are paid, at our discretion, as a credit against the Organizer’s own subscription or by another method we arrange. Organizers participate as independent contractors, are responsible for their own taxes, and may be issued tax documentation (such as a T4A) where required. This does not create an employment, partnership, agency, or franchise relationship.
  • The program is a discretionary benefit. We may change its terms, rates, or eligibility, or discontinue it, on reasonable notice. This is a single-tier program; earning commissions by recruiting other organizers is not permitted.

8. Merchant Use of Customer Data

Customer contacts you collect through the Service are provided so you can market to those customers directly. You are an independent controller of that data and agree to use it only for lawful marketing to those customers, to provide a working unsubscribe method, to honour deletion requests, and to comply with CASL, PIPEDA, and all applicable privacy and anti-spam laws. You will indemnify us for claims arising from your handling of that data.

9. Subscriptions, Fees & Billing

  • Free tier & first event. Participating in a giveaway event and using a basic account are free. Paid Network membership is optional.
  • Plans. Paid plans are billed monthly in advance at the rate shown at checkout, in Canadian dollars unless stated otherwise, plus applicable taxes.
  • Payment processor. Payments are processed by Stripe. By subscribing you also agree to Stripe’s terms. We do not store your full card number.
  • Automatic renewal. Subscriptions renew automatically each billing period until cancelled. By subscribing you authorize us and Stripe to charge your payment method on each renewal.
  • Plan changes. Upgrades take effect immediately and a prorated charge for the remainder of the current period may apply. Downgrades take effect at your next renewal.
  • Cancellation & refunds. You may cancel anytime; your paid benefits continue until the end of the current billing period, after which your account moves to the free tier. See our Refund & Cancellation Policy for full details.
  • Failed payments. If a payment fails, we may suspend paid features until payment succeeds and may cancel the subscription after repeated failures.

10. Hardware & Physical Signs

Merchants can print their own counter signs for free. Optional tap-enabled stands and related hardware may be offered for purchase, with prices and shipping shown at checkout. Physical goods are subject to the return and shipping information provided at the time of sale.

11. Acceptable Use

You agree not to:

  • use the Service for any unlawful, fraudulent, or harmful purpose;
  • circumvent the in-person design of gift claims (for example, by publishing claim links online or creating false claims);
  • send unsolicited bulk or spam messages through or in connection with the Service;
  • interfere with, disrupt, probe, or overload the Service or its infrastructure;
  • reverse engineer, scrape, or attempt to extract source code except as permitted by law; or
  • impersonate any person or business or misrepresent your affiliation.

12. Intellectual Property

The Service, including its software, design, and the ShopLocal name and logo, is owned by us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable licence to use the Service as intended. You retain ownership of the content you submit (such as your logo and gift images) and grant us a licence to host and display it as needed to operate the Service.

13. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any particular number of customers, claims, or results will be achieved. Gifts and merchant offerings are the sole responsibility of the Merchants who provide them.

14. Limitation of Liability

To the maximum extent permitted by law, ShopLocal and its owners, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us in the twelve months before the claim, or (b) CAD $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Just For Fun Software Limited and its owners, officers, and employees from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your gifts or content, your handling of customer data, or your breach of these Terms or applicable law.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure, or for any lawful reason. Upon termination, your right to use the Service ends; sections that by their nature should survive (including fees owed, data responsibilities, disclaimers, limitations of liability, and indemnification) will survive.

17. Changes to These Terms

We may update these Terms from time to time. We will revise the effective date above and, for material changes, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.

18. Governing Law & Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada, for any dispute not otherwise resolved.

19. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and Refund & Cancellation Policy, are the entire agreement between you and us regarding the Service.
